General Terms and Conditions for Provision of Services
Any service agreement concluded in any form between EPIC Legal Co., Ltd. ("EPIC") and any client, including by implied and express acceptance of proposal issued by EPIC or any of its representatives (the "Service Agreement") shall be subject to the following General Terms and Conditions:
ENGAGEMENT LIMITATION
EPIC will reply on certain information supplied by you in performing our services under any Service Agreement and will not independently verify the accuracy of such information, although EPIC may need to ask for clarification or for additional information.
EPIC and any other EPIC entities and representatives or employee of EPIC shall not be liable to the Company for any action, losses, damages, claims, liabilities, costs or expenses in any way arising out of or in relation to any Service Agreement for an aggregate amount of in excess of two times the fees paid to EPIC for the particular services performed pursuant to the Service Agreement. In no event shall EPIC or its representatives be liable for consequential, special, indirect, incidental, punitive or exemplary loss, damage, cost or expense (including without limitation, lost profits and opportunity costs) except to the extent that such liability arises out of fraud or gross negligence of EPIC or its representatives.
CONFIDENTIALITY
EPIC agrees that all information received will be treated in the strictest confidence and will not be disclosed to any third parties without prior written consent unless required by law.
SEVERABILITY
Any term, condition or covenant of any Service Agreement, including these General Terms and Conditions, which is illegal, prohibited or unenforceable shall be ineffective to the extent of such illegality, prohibition or unenforceability without invalidating the remaining provisions hereof.
TAXATION
The parties agree to pay their respective taxes resulting from and levied upon the relevant Service Agreement as required under the laws of Thailand.
NOTICES
All notices, request and other communications under any Service Agreement shall be deemed to have been duly given if delivered by written verifiable means.
FORCE MAJEURE
Any Service Agreement will automatically terminate on any catastrophic event of force majeure, which substantially affects the core terms and conditions of the Agreement. The parties agree that neither party shall be liable for the occurrence of such events.
GOVERNING LAW
The governing law for any services rendered by EPIC shall be that of the Kingdom of Thailand.
